Terms of Service

These Terms of Service ("Terms") govern your use of the ProofKit application ("ProofKit: Sales Pop Up & Timer", "the App") provided by NerdLabs ("we," "us," or "our"). By installing or using ProofKit, you agree to these Terms.
1. Service Description
ProofKit is a Shopify application that adds social proof and urgency widgets to your storefront through a theme app embed: a recent sales popup built from your store's real orders, live visitor and sold counts on product pages, an announcement bar with one or more rotating messages, and a countdown to a deadline you set. You turn the App on with one toggle in the theme editor; it makes no edits to your theme code.
ProofKit shows real data only. The sales popup never shows a customer's name or location, and test orders are never shown on live stores. The countdown runs to the deadline you set and does not restart. ProofKit never changes your product details, prices, orders, inventory or theme code; the only thing it writes to your store is its own data for the widgets (app metafields, such as each product's sold count).
2. Account and Eligibility
- You must have an active Shopify store to use ProofKit.
- You must have the authority to grant ProofKit access to your Shopify store.
- You are responsible for the content you and your staff put in the App, including announcement messages and links, and the deadlines you set for countdowns.
- You are responsible for making sure the messages and deadlines you show comply with the laws that apply to your store, including consumer-protection rules on urgency claims: a countdown should run to a deadline that is real.
- You are responsible for the security of your Shopify account and for who on your staff can access the App.
3. Pricing and Billing
- ProofKit offers a Free tier, free forever: any 2 widgets, 1 message per widget, unlimited visitors.
- The Starter tier is $3.49/month: all 4 widgets, unlimited messages, page targeting, scheduling, unlimited visitors.
- The Pro tier is $6.49/month: everything in Starter, plus analytics showing how often each widget was shown and clicked.
- No plan limits the number of visitors who see your widgets.
- Paid tiers are billed through Shopify's billing system and include a 7-day free trial.
- You may change or cancel your plan at any time through Shopify.
- We reserve the right to change pricing with 30 days' notice.
4. Acceptable Use
You agree not to:
- Use the App for any unlawful purpose, including misleading or deceptive claims to shoppers
- Attempt to reverse engineer, decompile, or extract source code from the App
- Use automated systems to scrape or extract data from the App beyond normal use
- Resell, sublicense, or redistribute access to the App
- Interfere with or disrupt the App's infrastructure
5. Data and Privacy
Your use of ProofKit is also governed by our Privacy Policy. By using the App, you consent to the collection and use of data as described therein. From your orders, ProofKit keeps only the product ID, quantity and time of each order line, plus the order's ID so an order is never counted twice. It does not store or show customer names, emails, phone numbers or addresses, and it does not track shoppers.
You retain ownership of all your store data and settings. We claim no ownership rights over your data.
6. Third-Party Services
ProofKit runs on Shopify's platform and APIs. Your use of the App is also subject to the Shopify Terms of Service. We are not responsible for the availability, accuracy, or policies of third-party services.
7. How the Widgets Work
ProofKit works with the information in your store and Shopify's APIs. While we strive for accuracy and reliability:
- Recent sales and sold counts reflect the orders the App has received from Shopify; an order can take a short time to appear.
- The live viewer count is an estimate of shoppers on a product page in the last 5 minutes.
- Themes differ, and a widget may look different, or need adjusting, in some themes. ProofKit loads after your page and is designed to stay lightweight.
- If the App is unavailable, the widgets may not show until it is back; your store keeps working normally.
8. Limitation of Liability
To the maximum extent permitted by law:
- ProofKit is provided "as is" without warranties of any kind, express or implied.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages.
- Our total liability shall not exceed the amount you paid for the App in the 12 months preceding the claim.
- We are not liable for lost sales, disputes over messages or deadlines you show, or other business losses arising from the use of, or reliance on, the App.
9. Service Availability
We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or experience outages. We will make reasonable efforts to notify you of planned downtime.
10. Termination
- You may terminate your use at any time by uninstalling the App from your Shopify store. The widgets are removed from your storefront cleanly.
- We may suspend or terminate your access if you violate these Terms.
- Upon termination, your access tokens and order records are deleted immediately, and all other data held by the App is deleted when Shopify sends its shop-redaction request (48 hours after uninstall), per our Privacy Policy.
11. Changes to Terms
We may update these Terms from time to time. Continued use of the App after changes constitutes acceptance. We will notify you of material changes in the App.
12. Governing Law
These Terms are governed by the laws of the United States. Any disputes shall be resolved through good-faith negotiation first, then binding arbitration if necessary.
